Operator Agreement
1. Parties & Acceptance
This Operator Agreement ("Agreement") is between JML Distributing LLC, a New York limited liability company operating as "Sovereign" ("Sovereign," "we," "us"), and the individual signing below ("Operator," "you"). By signing electronically, you agree to be legally bound by this Agreement, the Terms of Service, and the Refund Policy, each incorporated by reference. If anything here conflicts with those documents, this Agreement controls.
2. The Program
Sovereign is a mentorship and education program. Your program length and track (AI Masterclass 45 or 90 days; Trading Masterclass 30 or 45 days) are the ones you selected at checkout. The program includes curriculum access, an operator portal, daily check-ins, and mentor access as described at purchase. Sovereign provides education and mentorship only — it is not employment, a partnership, an investment, a security, or financial, legal, or tax advice.
3. Refund Policy — Read This
The full Refund Policy is binding. The parts people most often miss, stated plainly:
- The guarantee: if you complete your program in good standing and do not reach at least multiple four figures ($2,000+) in revenue during your program window, Sovereign refunds 2× what you paid.
- Good standing is mandatory, not symbolic. During your program you must: miss no more than 2 daily check-ins; miss no more than 1 scheduled mentor call without rescheduling 48+ hours ahead; complete each milestone gate; complete documented mentor-assigned actions on time; produce verifiable work product in your major; and report honestly. If you don't hold good standing, the 2× guarantee is void.
- Refund claims are investigated. Portal activity, check-in records, and work product are reviewed. Fabricated activity or bad-faith reporting voids refund eligibility.
- No general "change of mind" refunds. The guarantee above is the refund path.
4. Acceptable Use — No Malicious Intent
You agree that everything you learn, build, or operate through Sovereign — including AI tools, automations, content systems, trading strategies, and outreach methods — will be used only for lawful, ethical purposes. You will not use program knowledge, tools, or materials to:
- commit or facilitate fraud, scams, phishing, identity theft, or deceptive schemes;
- build or deploy malware, spyware, or any system designed to harm, deceive, or exploit others;
- send spam or conduct deceptive, false, or misleading marketing or impersonation;
- manipulate markets, trade on stolen or inside information, or violate any exchange, broker, or prop-firm rules;
- harass, defame, dox, or harm any person; or
- violate any applicable law or regulation, or any third-party platform's terms of service in a manner that causes harm.
Violation of this Section is a material breach: Sovereign may terminate your participation immediately without refund, and you are solely responsible for all consequences of your conduct.
5. Results, Risk & No Guarantee Beyond the Refund Guarantee
Outcomes depend on your effort, skill, market conditions, and factors outside anyone's control. Other than the 2× refund guarantee in Section 3, Sovereign makes no guarantee of income or results. Trading futures and other instruments involves substantial risk of loss; all trading decisions and accounts are yours alone. Testimonials and examples are not promises of your results.
6. Intellectual Property
The curriculum, lessons, portal, templates, and program materials are Sovereign's intellectual property, licensed to you for personal use only during and after your program. You may not resell, share, publish, redistribute, or teach from the materials, or use them to build a competing program. What you build with what you learn — your business, your content, your strategies, your revenue — is 100% yours.
7. No Royalty or Success Fee
Sovereign charges the one-time program fee only. There is no royalty, revenue share, success fee, or equity of any kind on anything you earn or build. Any prior version of a "Success Fee & Business Support Agreement" is superseded and of no effect; any royalty obligations under it are released.
8. Business Support Benefit
If you cross $10,000 in cumulative revenue in your venture during your program window, Sovereign will, at its discretion and upon reasonable verification, cover up to $1,500 of business-formation costs (LLC filing fee, operating-agreement template, EIN guidance). This is a benefit, not consideration for any fee — nothing is owed back.
9. Confidentiality & Community Conduct
Information shared by other operators in the cohort (revenue numbers, strategies, personal details) is confidential — don't share it outside the program. Treat the community with respect; abusive conduct is grounds for removal under Section 4.
10. Liability
To the maximum extent permitted by law, Sovereign's total liability under this Agreement is capped at the amount you paid for the program. Sovereign is not liable for indirect, incidental, or consequential damages, or for your trading or business losses. You agree to indemnify Sovereign against claims arising from your breach of Section 4 or your misuse of program materials.
11. Term & Termination
This Agreement runs from signing until your program ends, with Sections 3–10 and 12 surviving. Sovereign may terminate for material breach (including Section 4) without refund. You may withdraw at any time; refund eligibility is governed solely by the Refund Policy.
12. General
- Governing law: New York law; exclusive venue in the state or federal courts of New York.
- Electronic signature: your e-signature has the same force as ink. You confirm you are at least 18 and had the opportunity to consult an attorney.
- Entire agreement: this Agreement plus the Terms of Service and Refund Policy are the entire agreement and supersede all prior agreements, including any Success Fee & Business Support Agreement.
- Severability: if any provision is unenforceable, the rest stands.
